Terms of Service

1. Acceptance of Terms

By accessing or using Contract Sentinel (the "Service"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree, you may not access or use the Service. We may modify these Terms at any time; continued use after changes means you accept the updated Terms.

2. IMPORTANT: NOT LEGAL ADVICE

Contract Sentinel is an artificial intelligence-powered analytical tool. It does not provide legal advice, does not represent clients, and does not constitute the practice of law. Contract Sentinel is not a law firm and does not employ licensed attorneys.

All risk scores, clause flags, obligation summaries, key dates, and suggested language generated by the Service are produced by automated AI algorithms and have not been reviewed by a human legal professional. You must not rely on any output from Contract Sentinel as legal advice or as a substitute for consultation with a qualified attorney.

You are solely responsible for independently verifying all AI-generated output and consulting qualified legal counsel before taking any action based on it.

3. No Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, ACCURACY, OR NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL IDENTIFY ALL RISKS, CLAUSES, OBLIGATIONS, OR DATES IN ANY CONTRACT, OR THAT RESULTS WILL BE ERROR-FREE.

AI Limitations

Contract Sentinel's AI may:

  • Miss clauses, risks, or obligations present in a document
  • Flag items that are not actually risks (false positives)
  • Fail to identify actual risks (false negatives)
  • Misinterpret language depending on context, jurisdiction, or industry
  • Produce inaccurate results for scanned or photographed documents
  • Contain errors in extracted dates, amounts, or terms

You must independently verify all critical information — especially dates, payment terms, and termination conditions — before relying on them.

4. Limitation of Liability

IN NO EVENT SHALL CONTRACT SENTINEL'S TOTAL LIABILITY FOR ANY CLAIM ARISING FROM THIS AGREEMENT EXCEED THE AMOUNT YOU PAID US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM. WE ARE NOT LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, OR CONSEQUENTIAL DAMAGES, INCLUDING LOST PROFITS, LOST BUSINESS OPPORTUNITY, OR DAMAGES FROM MISSED CONTRACT RENEWALS OR DEADLINES, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

5. User Indemnification

You agree to indemnify and hold harmless Contract Sentinel and its owners, employees, and service providers from any claims, damages, or expenses (including reasonable attorneys' fees) arising from: (a) your use of the Service, (b) your reliance on any Service output without independent verification, (c) your breach of these Terms, or (d) your violation of any law or third-party right.

6. Use Restrictions

You agree not to: represent Service output as legal advice; distribute Service output as if produced by a licensed attorney; reverse-engineer or attempt to extract the Service's underlying algorithms; use the Service for any unlawful purpose; or share your account access with unauthorized parties.

7. Your Data

You represent that you have the right to upload any contract or document you submit to the Service. You are responsible for ensuring you are authorized to upload and analyze that content. Do not upload documents containing information you are not permitted to share.

Uploading documents to Contract Sentinel does not create an attorney-client relationship and is not protected by attorney-client privilege.

8. No Legal Representation

Contract Sentinel does not represent you in any legal matter, act as your attorney, or create an attorney-client relationship. Questions about your contracts should be directed to a qualified attorney licensed in your jurisdiction.

9. Governing Law

These Terms are governed by the laws of the State of Ohio, United States, without regard to conflict of law principles. You agree to submit to the exclusive jurisdiction of the state and federal courts located in Ohio for any disputes arising from these Terms.

10. Severability

If any provision of these Terms is found invalid or unenforceable, the remaining provisions remain in full force and effect.

11. Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and Contract Sentinel regarding the Service.
